Terms of Use

1. Acceptance of terms

By creating an account or using the Gestion de portes service (the "Service"), you agree to be bound by these terms of use (the "Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms form a contract between you (the "Subscriber") and Canari prospective S.A. (CPSA), which operates the Gestion de portes service ("we", "us"), governed by the laws of the province of Québec and of Canada.

2. Description of the service

Gestion de portes is an online software (SaaS) for rental property management, allowing owners of residential buildings to manage their properties, tenants, leases, finances, and maintenance.

The Service is provided "as is" and may evolve at any time. We reserve the right to add, modify, or remove features with reasonable notice.

3. User account

To use the Service, you must:

• Create an account with a valid email address
• Provide accurate information and keep it up to date
• Protect the confidentiality of your password
• Be at least 18 years old or a legally constituted entity

You are responsible for all activity under your account. Report any unauthorized access immediately to support@gestiondeportes.ca.

4. Subscription and billing

Plans and pricing

The Service is offered under different plans, whose rates are displayed on our pricing page. Billing is calculated monthly based on the number of active units in your account.

Free trial

A 14-day free trial is offered when a new account is created. Early Adopters launch offer: for any account created before October 31, 2026, this free period is extended to 3 calendar months following account activation. No credit card is required for the trial. When the trial expires, you must subscribe to a paid plan (monthly or annual, at the then-current public rate) to continue using the Service.

Payment

Payments are processed by Stripe Inc. You authorize automatic monthly billing of the amount corresponding to your plan. All prices are in Canadian dollars (CAD), applicable taxes extra (GST/QST).

Refunds

Payments are non-refundable, except where required by law. In the event of a billing error, contact us within 30 days of the charge.

5. Acceptable use

You agree not to:

• Use the Service for unlawful or fraudulent purposes
• Attempt to bypass security measures or access another subscriber's data
• Transmit malware or harmful content
• Resell or sublicense access to the Service without written authorization
• Use bots or automated scripts to access the Service in an abusive manner
• Store tenants' personal information without their consent, in accordance with Law 25

6. Data and privacy

You remain the owner of the data you enter into the Service (data about your buildings, tenants, finances, etc.). We act as a processor within the meaning of Law 25 for your tenants' personal information.

You are responsible for obtaining the necessary consent from your tenants before entering their personal information (income, etc.) into the Service.

Our use of your data is described in our Privacy Policy.

7. Intellectual property

The Service, including its source code, interface, graphics, and documentation, is the exclusive property of Canari prospective S.A. (CPSA) and is protected by copyright law. You are granted a limited, non-exclusive, non-transferable license to use it for the duration of your subscription.

8. Service availability

We aim for 99% availability on a monthly basis. Planned interruptions (maintenance) will be announced with 24 hours' notice when possible. We are not responsible for interruptions caused by events beyond our control (force majeure, third-party provider outages, etc.).

9. Limitation of liability

To the fullest extent permitted by applicable law, Canari prospective S.A. (CPSA) will not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Service.

Our total liability to you, regardless of cause, will not exceed the amount of subscription fees paid during the three (3) months preceding the event giving rise to the claim.

10. Termination

By you

You may cancel your subscription at any time from the Settings → Subscription page. Cancellation takes effect at the end of the period already paid for. Your data remains accessible in read-only mode and exportable for 30 days after cancellation, after which it is permanently deleted.

By Canari prospective S.A. (CPSA)

We reserve the right to suspend or terminate your account without notice in the event of a breach of these Terms, fraudulent activity, or non-payment. In the event of termination due to the closure of the service, we will provide you with 90 days' notice and a complete export of your data.

11. Changes to the terms

We may modify these Terms at any time. In the event of a substantial change, we will notify you by email at least 30 days before it takes effect. By continuing to use the Service after that date, you accept the new Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of the province of Québec and of Canada. Any dispute will be subject to the exclusive jurisdiction of the courts of the judicial district of Montréal, Québec.
